Ashford Hospitality Trust has secured a roughly $17 million advisory-fee waiver from its external manager and an agreement for recurring purchases of the hotel REIT’s common stock, a restructuring intended to conserve liquidity and align the manager with shareholders.
The Dallas-based company announced the arrangement October 20, 2026, at 6:15 p.m. Eastern. Its Form 8-K identifies October 20 as the earliest reported event date.
Fees waived and future stock purchases required
Ashford Inc., the REIT’s adviser, agreed to waive approximately $17 million in fees over a six-month period. The company estimates that relief equals roughly $2.60 per common share. The waiver reduces anticipated expenses; it is not a cash investment or an immediate $17 million deposit.
The adviser also committed to purchasing shares equivalent to 2.5% of Ashford Hospitality Trust’s outstanding common stock each quarter, subject to the contract. Based on approximately 6.47 million shares outstanding, the initial quarterly obligation equates to roughly 162,000 shares.
The adviser has six months after each quarter ends to complete the purchases. If it does not meet the obligation, it must provide a credit against future advisory fees tied to 150% of the volume-weighted average share price for each unpurchased share. Future purchases have been promised, not confirmed as completed.
The REIT also terminated its at-the-market common-stock offering arrangement with Virtu Americas. That ends an existing equity-issuance channel; it does not prevent the company from pursuing other financing alternatives.
Why hotel REIT investors should watch
Externally managed REITs can face questions about whether management fees and incentives adequately align with shareholder returns. The waiver and stock-purchase agreement directly address those concerns while preserving cash during a challenging financing environment.
Investors will be watching whether the adviser fulfills the purchases, whether the REIT can improve liquidity through operations or asset sales, and how future financing needs are met without the terminated stock offering.
