Simple Content Summary: Brookfield Asset Management and CPP Investments announced November 2 that their $5.2 billion acquisition of LXP Industrial Trust has closed. LXP is now privately held, its NYSE shares no longer trade, and 107 industrial properties covering approximately 52 million square feet join Brookfield’s logistics platform. This closing is a new milestone after WRE News covered the July agreement and October shareholder vote.
Brookfield Asset Management and Canada Pension Plan Investment Board have completed their $5.2 billion acquisition of LXP Industrial Trust, ending the industrial landlord’s tenure as a publicly traded real estate investment trust and transferring a substantial U.S. logistics portfolio into private ownership.
The buyers announced the closing on November 2 at 6:30 a.m. Eastern. The precise legal closing time was not separately disclosed. LXP common shareholders are entitled to $61.20 per share in cash under the transaction agreement. The approximately $5.2 billion transaction value includes net debt and preferred equity, rather than representing a cash payment solely to common shareholders.
LXP shares no longer trade on the New York Stock Exchange, and the company is now privately held, according to the buyers.
More than 50 million square feet change hands
The portfolio comprises 107 industrial properties totaling approximately 52 million square feet across Sunbelt and Midwest markets. The facilities primarily serve warehouse and distribution uses, with leases and occupancy that the buyers describe as supporting recurring cash flow.
Brookfield said the assets will be integrated into its global logistics platform, which spans more than 255 million square feet across over 850 properties in 20 countries. The transaction is a sizable addition to a portfolio already exposed to warehousing and distribution.
The closing announcement lists 107 properties and 52 million square feet, slightly below the 108 properties and approximately 53 million square feet described when the acquisition was first announced in July. The latest figures should be used for the completed portfolio; the release does not explain the change.
Deal progresses from agreement to private ownership
WRE News covered the definitive acquisition agreement announced July 20 and the October 26 shareholder approval. The completion announced November 2 is a separate, material development because the ownership transfer and delisting are now effective, rather than merely expected.
At the October special meeting, more than 99% of votes cast favored the deal, representing approximately 82% of outstanding common shares as of the record date, according to LXP. Shareholder approval did not by itself complete the merger; today’s announcement confirms that the transaction closed.
Why private capital is pursuing logistics real estate
The acquisition highlights continued interest from large institutional investors in modern industrial buildings despite a higher-cost financing environment. Warehouse properties can offer long leases and exposure to distribution demand, although actual returns will depend on tenant credit, rental growth, occupancy and operating costs.
Brookfield Real Estate CEO Lowell Baron said the company sees opportunities in modern logistics assets in markets with limited supply. CPP Investments described the purchase as an addition to its diversified U.S. real estate holdings. Those statements reflect the investors’ outlook, not guaranteed future returns.
For the industrial property sector, the transaction removes a major publicly listed landlord while placing its assets under two large long-term capital managers. It also provides a completed transaction benchmark at a time when investors are evaluating industrial values, leasing conditions and the balance between public-market valuations and private real estate capital.
