Getty Realty Corp. has entered into a $200 million senior unsecured term loan, using the proceeds to repay revolving-credit borrowings, including debt that helped finance its recently completed Refuel transaction.
The New York-based net-lease real estate investment trust announced the financing on October 19, 2026. Its filing with the Securities and Exchange Commission identifies October 16 as the date Getty entered the amended credit agreement. That distinction matters: the underlying agreement preceded the public announcement by three days.
Loan terms and acquisition financing
Getty said the loan’s effective interest rate at closing was 5.03%. The company stated in its October 19 announcement that the loan matures October 16, 2028, with three potential 12-month extensions at Getty’s option, subject to conditions.
The loan bears interest at either a SOFR-based rate plus 0.75 to 1.55 percentage points or a base rate plus zero to 0.50 percentage points, depending on the company’s credit rating. The proceeds were used to repay borrowings on Getty’s revolving credit facility, including amounts used for a portion of its recent Refuel transaction.
Changes to revolving-credit terms
The term loan was established through an amendment to Getty’s existing credit agreement. The amendment removes a 10-basis-point credit-spread adjustment on certain SOFR-based revolver borrowings, which reduces that component of the company’s borrowing costs.
It also revises the definition of an investment-grade credit rating. Getty’s SEC filing says the amended definition requires at least one qualifying debt rating of Baa3 or better from Moody’s or BBB- or better from S&P or Fitch, rather than the previous requirement for two qualifying ratings.
Chief Financial Officer Brian Dickman said the financing provides balance-sheet flexibility and effectively funds part of the Refuel transaction. The financing is not a newly announced acquisition; it changes how Getty funds debt associated with a previously completed deal.
Real estate capital markets implications
Getty specializes in convenience, automotive and other single-tenant retail properties. As of September 22, 2026, the company reported 1,269 freestanding properties across 46 states and Washington, D.C.
For net-lease investors, the transaction illustrates how REITs can refinance acquisition-related revolver drawings into longer-dated debt while negotiating changes to revolving-credit pricing. The company’s reported 5.03% effective rate applies at closing; subsequent interest expense can depend on the loan’s contractual rate structure and other terms.
