Summary

ARMOUR Residential REIT reported a $327 million third-quarter loss attributable to common shareholders as agency mortgage-backed securities weakened. Book value was $14.55 per common share at September 30, and quarterly economic return including dividends was negative 12.9%. Net interest income increased, while repurchase financing and leverage remained substantial.

Mortgage-backed securities investor ARMOUR Residential REIT recorded a $327 million third-quarter loss attributable to common shareholders as agency bond prices weakened during a sharp change in interest-rate expectations. Its reported economic return for the quarter, including dividends, was negative 12.9%.

The Vero Beach, Florida-based company reported the unaudited results October 21. The loss amounted to $2.26 per common share. Book value ended September at $14.55 a share, down from $18.63 at the end of 2025, while the REIT paid $0.72 a share in common dividends during the quarter.

ARMOUR invests mainly in agency mortgage-backed securities, which carry government-agency or government-sponsored-enterprise guarantees against certain credit losses but remain exposed to changes in bond prices, prepayment behavior, financing costs and interest-rate spreads. The company said its $21.3 billion portfolio at September 30 consisted of 94% agency MBS, 3.8% agency securities traded on a to-be-announced basis and 2.2% U.S. Treasury securities.

Spread losses outweighed interest income

Net interest income reached $83.7 million, compared with $38.5 million in the year-earlier quarter. The stronger interest margin did not prevent a large accounting loss as market valuations moved against the securities portfolio. ARMOUR reported $102.3 million of distributable earnings available to common shareholders, equivalent to $0.71 a share. That non-GAAP measure is calculated differently from the company’s reported net loss and should not be treated as cash earnings available without qualification.

The company described a 1.83% economic net interest spread. Management said mortgage spreads widened late in the quarter as rates rose and markets adjusted to a more restrictive Federal Reserve outlook. Agency mortgage securities can lose market value when investors demand greater yield compensation, even if underlying borrowers continue making payments.

ARMOUR had $19.4 billion in repurchase agreements outstanding at quarter-end, giving it a debt-to-equity ratio of 8.24 to one. About 49.8% of those agreements were with affiliate Buckler Securities. It reported $1 billion in liquidity, including cash and unencumbered securities, and $17 billion of notional interest-rate swaps. The swaps are designed to manage exposure to rate changes but cannot guarantee that securities valuations will remain stable.

Capital raised during volatile quarter

ARMOUR issued roughly 12.4 million common shares through an at-the-market offering program, raising $205.7 million, and repurchased 363,700 common shares. Additional share issuance can support liquidity and investment capacity while diluting existing holders’ ownership percentage.

In an October 19 operating update, the REIT said liquidity exceeded $897 million, excluding $253.2 million of principal and interest receivables due later that month. Its reported leverage had eased to 7.99 to one by that date. These figures are a subsequent snapshot, not the September 30 balance sheet.

The results offer a view of how mortgage-market volatility affects capital providers beyond loan originators and servicers. Freddie Mac’s October 22 survey showed mortgage rates easing to 7.32%, but ARMOUR’s third-quarter loss reflects securities valuations through September 30. The company will have to manage the resulting book-value pressure while maintaining access to short-term funding and funding its monthly dividend.
