United Wholesale Mortgage’s parent company plans to sell between $70 billion and $80 billion in mortgage servicing rights during the fourth quarter, a sweeping portfolio reduction intended to raise more than $1.8 billion for debt repayment as mortgage originations weaken.

UWM Holdings Corporation disclosed the planned sales Friday, October 23, alongside preliminary third-quarter operating results and a reduced full-year revenue outlook. The company expects proceeds from the servicing-rights sales, together with approximately $400 million in gross proceeds from a previously announced rights offering, to support repayment of non-funding debt.

The sales are planned, not completed. The $70 billion–$80 billion figure refers to the unpaid principal balance of mortgages underlying the servicing rights, not the cash purchase price of those rights. Expected proceeds exceed $1.8 billion.

Originations fall as UWM updates outlook

UWM estimated third-quarter mortgage originations of $33.4 billion, comprising $22.8 billion in purchase loans and $10.6 billion in refinances. The company reported a gain margin of approximately 124 basis points.

Its preliminary quarterly revenue is expected to range from $800 million to $825 million, with estimated net income of $205 million to $220 million. Loan production income is projected at $410 million–$420 million, and loan servicing income at $240 million–$250 million.

For full-year 2026, UWM now expects revenue of approximately $3.35 billion–$3.50 billion, below its earlier outlook. Management attributed the reduction to weaker mortgage origination volume across the industry. UWM estimates it will account for approximately 8% of U.S. residential mortgage production this year.

The numbers are preliminary and unaudited. UWM said the estimates have not been reviewed by its independent auditor and could change materially when quarterly closing procedures are completed.

Servicing portfolio set to shrink

UWM estimated that its servicing portfolio had approximately $270 billion in unpaid principal balance at September 30, with a weighted-average mortgage coupon of 5.97% and an average servicing fee of roughly 40 basis points.

After the planned fourth-quarter sales, UWM expects its year-end servicing portfolio to total $210 billion–$230 billion in unpaid principal balance. Portfolio balances can also change through new production, loan payoffs and other activity, so the difference between those estimates should not be interpreted as an exact completed sale amount.

Mortgage servicing rights entitle the holder to receive fees for administering mortgage loans. Their values can fluctuate with interest rates, borrower prepayments and servicing costs. Selling the rights can generate immediate cash, but it also reduces the associated future servicing-fee stream.

Debt reduction and the rights offering

UWM’s debt strategy also incorporates its previously announced rights offering, which began October 5 and is scheduled to expire November 12. WRE previously reported on the offering’s terms. Friday’s servicing-rights sale plan is a separate new disclosure.

The company estimated net non-funding debt at 1.75 to 1.80 times its combined preferred and common equity at September 30, using management’s non-GAAP definitions. It estimated combined preferred and common equity of approximately $2.8 billion.

UWM’s planned transactions are significant for the mortgage industry because the company operates exclusively through the wholesale channel and maintains one of the nation’s largest servicing portfolios. The proposed sales could shift a substantial amount of servicing exposure to other investors while changing UWM’s balance-sheet structure.

The actual transaction prices, purchasers, closing dates and ultimate debt reduction remain uncertain. Investors and mortgage professionals will need to watch the final third-quarter results and any subsequent transaction disclosures.
