Summary: Hines closed a roughly $591 million Delaware statutory trust offering tied to two multifamily properties in Coral Gables, Florida, and Chicago.
Hines has completed its largest Delaware statutory trust offering to date, raising approximately $591 million through a vehicle holding two apartment properties in Florida and Illinois. The transaction underscores the scale at which sponsors are packaging institutional multifamily real estate for private investors seeking tax-deferred exchanges.
The company announced the completion on October 20. The offering, HREX 9 DST, includes Gables Station in Coral Gables, Florida, and Left Bank in Chicago. Both assets were sourced from Hines Global Income Trust, a non-listed real estate investment trust sponsored by Hines.
A Form 8-K filed with the Securities and Exchange Commission confirms that the sponsor announced the completed offering and identifies the two residential properties. The company describes the offering as the largest of its nine Hines Real Estate Exchange DST vehicles.
Why investors use DST structures
A Delaware statutory trust can hold real estate interests for multiple investors, potentially allowing qualifying property sellers to use a like-kind exchange under Section 1031 of the Internal Revenue Code. That treatment is subject to strict eligibility and timing rules; participation does not automatically guarantee tax deferral for every investor.
The arrangement differs from a conventional public REIT purchase. Investors acquire interests in a trust holding specific properties rather than shares in a diversified publicly traded portfolio. The structure can provide access to professionally managed buildings, but it may also involve limited liquidity, property concentration and costs that should be evaluated independently.
Hines said it has raised more than $1.9 billion through its Real Estate Exchange platform since launching it in 2022. The company reported that Hines Global Income Trust’s portfolio had a gross asset value of approximately $7.29 billion at September 30, 2026. That portfolio value is not the amount invested in HREX 9.
Two large apartment properties
Gables Station is a residential community in Coral Gables, while Left Bank is an apartment property in Chicago’s West Loop area. Hines describes the assets as institutional-quality multifamily investments in markets where demand for housing is supported by employment and neighborhood amenities.
Investors should distinguish the $591 million offering size from a freshly negotiated $591 million property sale to an unrelated buyer. The assets were sourced from an affiliated Hines-sponsored trust. The release did not provide an independent assessment of whether investors will achieve the projected returns or what property-level performance will be in future years.
The offering also arrives during a period of pressure on some apartment owners from elevated borrowing costs and operating expenses. Large, well-located properties can remain attractive, but performance depends on rental demand, debt structures, maintenance costs and the price at which an investor enters the vehicle.
The original corporate announcement and SEC filing date are October 20, 2026. Later coverage of the financing vehicle should not be treated as a new October 26 transaction.
