Summary

Real REMAX Group reported $727.9 million third-quarter 2026 revenue, a $67.2 million GAAP net loss and $33.8 million adjusted EBITDA in its first quarter after the RE/MAX acquisition. The company said it actioned more than $40 million of annualized savings, disclosed mixed domestic and international agent trends, and issued cautious 2027 housing assumptions.

Real REMAX Group’s first earnings report since the August combination of Real Brokerage and RE/MAX lays bare both the scale of the new brokerage company and the cost of putting it together. The company reported $727.9 million in third-quarter revenue, up 28% from a year earlier, while recording a $67.2 million GAAP net loss. Adjusted EBITDA rose 66% to $33.8 million.

The comparison needs care. The merger closed August 24, and the reported quarter includes RE/MAX operations only from August 25. The year-earlier reported results reflect Real’s historical business. On a pro forma basis that assumes the transaction occurred at the beginning of 2025, combined quarterly revenue was $770 million, up 20% from $641.8 million. Those are different measurement bases, and neither should be mistaken for same-store growth across an unchanged company.

Integration costs overwhelm quarterly GAAP results

Operating losses reached $72 million, compared with $0.5 million a year earlier. The company attributed much of the deterioration to $52.3 million of acquisition-related expenses and $26.4 million in accelerated stock compensation associated with employee terminations. The reported $67.2 million net loss contrasts with a $0.3 million loss in the year-earlier quarter.

Management says it has actioned more than $40 million in annualized gross cost savings in the two months since closing. That represents anticipated recurring expense reductions, not cash already earned or a realized quarterly profit. Further technology and system consolidation is planned, and the final integration expense and savings trajectory remain to be established.

The company entered a $550 million senior secured term-loan facility and a $40 million revolver in connection with the acquisition. After a voluntary $25 million repayment, outstanding term-loan principal stood at $525 million on September 30. Cash and cash equivalents totaled $102.5 million, with another $6.9 million in short-term investments. Deleveraging will compete for cash with integration spending and investment in agent services.

Agent numbers show two different trends

Real’s owned brokerage counted 36,610 agents at quarter-end, 21% more than a year earlier, and closed 62,738 transaction sides, up 17%. But the company said its owned-brokerage roster had fallen to approximately 36,200 by November 3. October departures included more than 500 agents it said were proactively removed because of unpaid dues or expired licenses. Those removals complicate any simple interpretation of the change as voluntary departures.

Within the RE/MAX franchise network, U.S. and Canadian agent count fell 3% from a year earlier to 72,118. Agents outside those markets rose 4% to 75,970, leaving the global RE/MAX count up 0.4% at 148,088. The distinction matters to franchise economics: international growth does not automatically replace lost domestic recurring fees, and agent totals alone do not show transaction productivity or franchisee profitability.

Management’s 2027 planning assumptions are notably cautious. The company is modeling a 5% to 10% decline in U.S. existing-home sales and a 3% to 4% drop in home prices. Those figures are assumptions underlying its guidance, not verified forecasts of what the market will do. It projects 2027 revenue of $2.6 billion to $2.8 billion and adjusted EBITDA of $175 million to $190 million. Fourth-quarter 2026 guidance calls for $575 million to $625 million in revenue and $32 million to $38 million in adjusted EBITDA.

The combined platform spans brokerage, franchising and ancillary real estate services, including title, escrow and mortgage brokerage. Integration promises will be judged by retention, agent production and recurring franchise economics as much as by announced cost cuts. The first quarter after closing offers evidence of size and considerable restructuring expense; it does not yet establish that the combined model can sustain the margins projected for next year.
