Home-security provider ADT has agreed to be acquired by Thrive Holdings in an all-cash transaction valued at approximately $15.3 billion including debt, a deal that would return one of the nation’s best-known residential security businesses to private ownership.

Under the definitive agreement announced October 29, ADT shareholders would receive $10 per share, valuing the company’s equity at about $7.6 billion. The offer represents a 45.6% premium to ADT’s unaffected October 27 closing price of $6.87, the company said.

Deal would take ADT private

ADT’s board unanimously approved the agreement. The transaction is expected to close in the first quarter of 2027, subject to shareholder approval, U.S. antitrust clearance and other customary conditions. The acquisition has not yet closed, and ADT will continue operating independently until it does.

Financing commitments have been provided by funds managed by affiliates of Apollo Global Management. The merger agreement allows ADT to seek competing proposals during a 30-day period ending November 28, with a potential extension for certain bidders.

Residential services and technology

ADT supplies monitored security, smart-home technology and related services to U.S. households and small businesses. Thrive Holdings said it plans to combine ADT’s established service network with long-term capital and engineering capabilities to develop its smart-home security business.

The companies said ADT’s existing customer data and privacy policies would remain unchanged, and that no new data sharing would occur without customer permission. The announcement does not establish that customer prices, installation arrangements or dealer contracts will change.

Thrive’s investment strategy focuses on established businesses it believes can benefit from technology improvements. ADT’s nationwide network gives it a substantial physical presence in the residential services market.

What comes next

Shareholder and antitrust reviews will determine whether the transaction closes on the expected timetable. If completed, ADT’s common stock would cease trading on the New York Stock Exchange.

For the housing industry, the deal reflects continued investor interest in services delivered to existing homes, even as homebuying activity remains subdued. Its immediate implications for homeowners and contractors, however, are not yet clear.
