The owners of Discovery Senior Living are exploring a sale of the senior housing management company that could value the business at more than $1 billion, according to a Reuters report Tuesday citing two people familiar with the confidential process.

The reported discussions involve the Bonita Springs, Florida-based operator, which manages approximately 450 senior living and retirement communities in 40 states. Investment bank William Blair is working with the company on the potential transaction, Reuters reported, citing people who requested anonymity because the process is private.

No sale has been announced. The reported valuation is an estimate, not an agreed purchase price. There is no publicly confirmed buyer, signed transaction agreement or closing timetable. Reuters said Discovery, William Blair and Lee Equity Partners did not respond to requests for comment, while Coastwood Senior Housing Partners could not be reached.

Private-equity investors weigh next steps

Lee Equity Partners and Coastwood invested in Discovery in 2022. People familiar with the matter told Reuters the operator generates approximately $65 million in annual earnings before interest, taxes, depreciation and amortization. WRE News has not independently reviewed financial statements supporting that estimate.

Discovery’s business centers on operating and managing communities, often on behalf of real estate investment trusts and other institutional property owners. A sale of the management platform would not necessarily mean the sale of the underlying buildings or land. That distinction is critical for evaluating the potential transaction’s real estate implications.

Report follows separate Sunshine acquisition announcement

The potential sale report follows Discovery’s October 19 announcement that it agreed to acquire Sunshine Retirement Living’s management business, adding 33 communities and more than 3,500 units to its operating network. The Sunshine transaction is expected to close in the fourth quarter, subject to customary conditions, and the existing owners retain the underlying real estate.

Discovery’s Sunshine agreement and the newly reported exploration of a sale of Discovery itself are different transactions. Neither establishes that Discovery has entered into a definitive agreement to sell its own business.

Why senior housing investors are watching

Senior housing operators are attracting investor interest because of aging demographics, recurring management fees and opportunities to expand across fragmented regional markets. The scale of Discovery’s platform could appeal to investors seeking operating exposure without purchasing hundreds of individual properties.

For real estate owners and lenders, a change in the management company’s ownership could affect long-term operating partnerships, staffing and capital relationships. Those outcomes are speculative unless and until a transaction is agreed and its terms disclosed.
