Liquidators of China Evergrande Group have reached an agreement to sell control of its property management subsidiary to investment firm PAG, marking a significant step in efforts to recover funds for creditors of the collapsed developer.

Under a share purchase agreement signed October 28, 2026, after Hong Kong trading hours, the sellers conditionally agreed to transfer approximately 51.016% of Evergrande Property Services Group for HK$4.026 billion, or about $514 million. The transaction was publicly disclosed October 30 in a joint company announcement.

A sale agreement, not a completed acquisition

The agreement covers 5,515,229,000 shares and remains subject to regulatory and other closing conditions. The October 30 announcement is not confirmation that PAG has completed the acquisition.

Following completion, the buyer would be required under applicable takeover rules to make a cash offer for remaining shares not already held or agreed to be acquired. The announcement identifies Goldman Sachs as acting on behalf of the offeror for that possible offer.

Reuters reported that Chinese antitrust approval is among the outstanding conditions and that the parties may terminate the deal if conditions are not met or waived by February 12, 2027.

Why the sale matters to creditors

Evergrande’s collapse left enormous claims against the developer, and its stake in the property services unit represents a potentially meaningful source of recoveries. However, the sale price is not the same as a confirmed distribution to creditors: costs, priorities, liabilities and completion conditions affect eventual recoveries.

WRE News previously reported on Evergrande’s limited liquidation recoveries relative to creditor claims. The new conditional sale agreement is a material subsequent development, not a restatement of that earlier accounting.

What happens next

Investors and creditors will be watching for regulatory clearance, confirmation of completion, the mandatory offer process and any subsequent liquidator updates on proceeds. PAG has indicated an intention to preserve the subsidiary’s separate business operations, but those plans remain subject to implementation after closing.
