Federal Realty Investment Trust raised its full-year earnings outlook after signing new and renewed retail leases at rents 14% higher on a cash basis, while also disclosing a $508 million shopping-center acquisition in Alabama.
The North Bethesda, Maryland-based real estate investment trust released its third-quarter financial results Friday, October 30, at 7:30 a.m. Eastern. The results cover the three months ended September 30, not transactions that all occurred on the release date.
Net income available to common shareholders rose to $64.2 million, or 74 cents per diluted share, from $59.6 million, or 69 cents, a year earlier. Funds from operations, a supplemental measure widely used to evaluate real estate investment trusts, increased to $163 million, or $1.87 per diluted share, from $153 million, or $1.77 per share.
Leasing gains outpace occupancy changes
The company signed 123 leases covering nearly 590,000 square feet during the quarter. For the 117 leases involving comparable retail space, the average new rent was $40.01 per square foot, versus $35.07 under the prior leases. That represents 14% growth on a cash basis and 25% on a straight-line accounting basis.
Those percentages measure rents on space that was leased during the period; they are not the same as a 14% increase in rents across the entire portfolio. Comparable-property operating income increased 2.5%, or 4% after adjustments for straight-line rents and in-place lease amortization.
Portfolio occupancy was 93.8% at September 30, unchanged from both the preceding quarter and a year earlier. The percentage of space leased, which can include signed leases for tenants not yet in occupancy, increased to 96.5%, up 110 basis points year over year. Small-shop space was 94.1% leased.
$508 million Birmingham acquisition adds scale
Federal Realty said it acquired The Summit, an approximately 870,000-square-foot retail center in Birmingham, Alabama, after the quarter ended. The $508 million purchase involves a center with approximately 120 tenants.
The company did not identify the acquisition as a third-quarter closing, and the earnings release does not establish a precise closing date. The transaction adds another large retail property as landlords and lenders assess whether leasing strength can support values in a higher-rate environment.
Federal Realty also issued $460 million of exchangeable senior notes bearing 3.5% interest and maturing in 2031. It repurchased approximately 870,000 common shares for about $95 million through October 9, combining new borrowing with capital returned to shareholders.
Guidance rises, but operating measures remain distinct
Management increased and narrowed its forecast for 2026 Nareit and Core funds from operations to $7.54 to $7.58 per diluted share, compared with its prior range of $7.48 to $7.56. It also narrowed expected GAAP earnings to $4.23 to $4.27 per share.
Funds from operations exclude certain items, including real estate depreciation and gains or losses on property sales, and are not interchangeable with net income or operating cash flow. Federal Realty provided a reconciliation in its earnings release.
The combination of higher rents on newly signed leases and a largely stable occupancy rate suggests the company’s immediate gains are coming more from pricing and tenant demand than from filling a large amount of vacant space. Whether that continues depends on tenant sales, operating expenses and the pace of future leasing.
Retail property investors will also be watching how the Alabama acquisition performs relative to its purchase price and financing costs. The release did not provide a property-specific return forecast, and no such return can be inferred from the purchase price alone.
