Summary
Public Storage announced pricing of $500 million of senior notes due 2036, with a 5.6% stated coupon and a 5.2% effective rate after prior interest-rate swaps. Closing is expected November 6, 2026, and proceeds are intended for commercial paper and a 2026 debt maturity.
Public Storage has priced $500 million of senior notes due in November 2036 as the self-storage giant prepares to repay shorter-term borrowings and address a bond maturity later this year. The fixed-rate notes carry a 5.6% annual coupon, but the company said previously executed interest-rate swaps reduce the effective rate to 5.2%, according to its October 29 financing announcement.
The notes are being offered at 98.293% of face value and will be issued by Public Storage Operating Company, with a guarantee from Public Storage. The company expects the transaction to close November 6, subject to customary conditions. Pricing is complete; the closing is still prospective.
The proceeds are intended to repay commercial paper and partially fund repayment at maturity of the operating company’s $650 million of 1.5% senior notes due in 2026. Replacing older, lower-coupon debt with longer-term financing is likely to increase the cash cost of borrowing on the refinanced portion, even though the company benefits from the swaps’ effective-rate adjustment.
Why the coupon and effective rate differ
The 5.6% coupon determines the stated cash interest on the new notes. The lower 5.2% effective rate reflects the economic effect of prior interest-rate hedges, as described by the issuer. Investors should not treat the 5.2% figure as the bond’s stated coupon or assume that the swaps reduce every future debt issuance by the same amount.
The offering also carries an issue discount: the notes are priced below their $500 million face amount. The company did not state that net proceeds would equal the entire principal amount, and issuance costs may further reduce available cash. Interest is scheduled to be paid twice annually, beginning May 15, 2027.
The financing is significant for the broader property sector because REITs with substantial real estate holdings face a rolling schedule of debt maturities. A bond offering can extend the repayment horizon, but it does not automatically improve property-level revenue, occupancy or rental rates.
Public Storage has been expanding through major transactions, including its acquisition of National Storage Affiliates and Canadian storage assets earlier in 2026. Those acquisitions enlarged its operating footprint and increased the importance of financing decisions. WRE News recently covered Extra Space Storage’s quarterly operating results, offering another perspective on financing and property performance in the same sector.
The transaction remains subject to closing conditions. The company has disclosed the expected use of proceeds, but the final amount allocated to commercial paper versus the 2026 notes will depend on its cash-management decisions at closing.
