Summary

ISS and Glass Lewis recommend approval of Sunrise Realty Trusts proposed share issuance for its Southern Realty merger. Shareholder approval is still pending.

Sunrise Realty Trust has secured support from both major proxy advisory firms for the stock issuance needed to advance its planned combination with Southern Realty Trust, clearing an important recommendation hurdle before shareholders vote next week.

In an October 13 company announcement, the Nasdaq-listed commercial mortgage lender said Institutional Shareholder Services and Glass Lewis recommended voting in favor of issuing approximately 8,464,955 new Sunrise shares as part of the transaction. ISS issued its recommendation October 1 and Glass Lewis followed October 6.

Sunrise shareholders are scheduled to consider the issuance at an October 23 special meeting. They will also vote on whether the meeting may be adjourned to solicit additional proxies if needed. The recommendations support the board’s position, but neither an adviser recommendation nor the board’s endorsement constitutes shareholder approval. The merger remains proposed, subject to the applicable votes and other closing conditions.

Both lenders operate on the Tannenbaum Capital Group real-estate platform. Sunrise is publicly traded and concentrates on transitional commercial-property loans, primarily in Southern U.S. markets. Southern Realty Trust is privately held. The combination would place related lending operations under a single publicly traded structure, though the final capital position and operating consequences depend on closing.

Sunrise filed a definitive proxy statement with the Securities and Exchange Commission on September 18. Its announcement directs investors to that document for the terms, governance issues and risk factors. The company says its shareholders should read the proxy rather than rely solely on the release or the advisers’ recommendations.

Commercial mortgage REIT investors are navigating elevated funding costs and the refinancing needs of office, apartment and other property borrowers. Combining two affiliated vehicles could change their access to capital and portfolio composition, but no merger can by itself remove credit losses, refinancing risk or exposure to property values. The announcement did not include a new independent appraisal of the combined loan book.

The transaction also creates an important distinction for investors watching consolidation in real-estate credit: a favorable proxy recommendation is a step toward a deal, not a completed acquisition. Until the vote, the shares remain subject to the outcome of the proposal and other conditions. Sunrise has not announced a closing date in this October 13 update.

The next scheduled event is the October 23 shareholder meeting. A vote approving the issuance would remove one stated obstacle, after which investors will need confirmation of the remaining approvals and an actual closing announcement before treating Southern Realty Trust as part of the combined public company.
