Simple Content Summary: Strategic Storage Trust VI said November 2, 2026, that it completed its all-stock merger with Strategic Storage Growth Trust III, combining two SmartStop-sponsored investment vehicles into a non-traded REIT with more than $1 billion in total assets. The acquired portfolio was valued at about $500 million. The combined company holds 37 wholly owned storage facilities with roughly 29,400 units and 3.2 million rentable square feet, plus additional joint-venture and Delaware Statutory Trust interests.
Strategic Storage Trust VI has completed its all-stock acquisition of Strategic Storage Growth Trust III, creating a self-storage real estate investment trust with more than $1 billion in assets and a substantially larger North American portfolio.
The two investment vehicles are sponsored by affiliates of SmartStop Self Storage REIT. Their November 2 completion announcement values the acquired company’s real estate portfolio at approximately $500 million. The announcement confirms completion but does not separately identify the exact legal closing hour; the merger agreement was first signed July 14.
Following the combination, Strategic Storage Trust VI owns 37 wholly owned operating self-storage properties across ten U.S. states and three Canadian provinces, totaling approximately 29,400 units and 3.2 million rentable square feet. It also holds interests in additional joint ventures, development projects and Delaware Statutory Trust programs.
Merger adds 12 properties and expands geographic reach
The merger adds 12 wholly owned facilities and increases the company’s storage-unit count by approximately 45%, according to the sponsor. It also extends the U.S. footprint into California, New Jersey and Texas, markets outside the pre-merger seven-state portfolio.
Additional interests include three new joint ventures in British Columbia and Québec and beneficial interests in three Delaware Statutory Trust programs. Those programs collectively own eight properties with approximately 5,370 units and nearly 700,000 net rentable square feet. These are separate beneficial interests, not eight additional wholly owned facilities.
The company’s existing platform includes properties and ventures in Canada as well as the United States, making the transaction a cross-border consolidation within the storage sector.
Shareholders receive stock, not a $500 million cash payout
Strategic Storage Growth Trust III shareholders received one share of Strategic Storage Trust VI Class A common stock for each share they held. The approximately $500 million figure is the announced valuation of the acquired real estate portfolio; it is not a cash payment to shareholders.
Legacy Strategic Storage Trust VI shareholders now own about 59% of the combined entity, former Strategic Storage Growth Trust III shareholders approximately 38%, and other operating-partnership unitholders about 3%. The sponsor expects the distribution rate for former SSGT III shareholders to be more than 20% higher after the merger, but actual distributions remain subject to company decisions and financial performance.
The July 14 merger agreement filing with the Securities and Exchange Commission documented the proposed one-for-one exchange and anticipated fourth-quarter closing. The November 2 announcement establishes that the previously proposed transaction has now been completed.
Why the consolidation matters for self-storage investors
Management expects the larger asset base and overlapping operations to improve efficiencies and potentially borrowing terms. Those are projections rather than realized savings. Investors will need to assess debt costs, occupancy, rental growth, management fees, liquidity and the non-traded REIT structure when judging the merger’s longer-term impact.
SmartStop and its affiliates reported owning or managing approximately 475 operating storage properties in the United States and Canada as of November 2. Strategic Storage Trust VI remains a separate non-traded investment vehicle; its assets should not be confused with properties directly owned by publicly listed SmartStop Self Storage REIT.
For commercial real estate capital markets, the completed merger is another example of consolidation among specialized property investment vehicles, using stock consideration to build scale rather than relying on a large new cash acquisition.
