MCLEAN, Va. — Freddie Mac on Monday launched a fixed-price cash tender offer to repurchase five classes of Structured Agency Credit Risk (STACR) notes with a combined $1.125 billion in original principal, according to its October 26 announcement.
The offer began Monday, October 26, and is scheduled to expire October 30 at 5 p.m. Eastern, unless extended. Freddie Mac expects settlement on November 3.
Five STACR note classes targeted
The eligible securities are STACR 2020-HQA5 B-1 ($225 million original principal), 2021-DNA3 B-1 ($211 million), 2021-DNA5 B-1 ($339 million), 2021-HQA1 B-1 ($223 million) and 2023-DNA2 M-1B ($127 million).
Quoted tender consideration ranges from $1,035.17 to $1,135 per $1,000 of original principal. Actual payments depend on the applicable principal factor, amounts tendered and accepted, and accrued interest. The $1.125 billion headline figure is not the amount Freddie Mac has committed to spend; it represents the notes’ combined original principal balances.
Mortgage credit-risk transfer
STACR securities are part of Freddie Mac’s credit-risk transfer program, which transfers a portion of residential mortgage credit risk to private capital. The agency said the notes are issued by five STACR trusts for which it holds the owner certificates.
Wells Fargo Securities and Cantor Fitzgerald are lead dealer managers, with CastleOak Securities as co-dealer manager. The offer is governed by a formal Offer to Purchase, available through Freddie Mac’s capital-markets website.
Holders may generally withdraw valid tenders until the expiration deadline. The offer does not establish that any notes have yet been repurchased; results will depend on investor participation and acceptance.
