Sunrise Realty Trust and Southern Realty Trust have secured shareholder approvals for their planned merger, clearing a major hurdle toward combining the commercial real estate lenders into a larger publicly traded platform.

At a special meeting Friday, October 23, Sunrise shareholders approved the issuance of approximately 8,464,955 common shares, subject to adjustments, in connection with the transaction. Southern Realty Trust shareholders separately approved the merger the same day. The companies now expect the deal to close on or around November 5, 2026, although remaining closing conditions must still be satisfied.

Shareholders back proposed share issuance

Sunrise disclosed in its October 23 SEC Form 8-K that 7,365,863 votes supported the issuance, 640,115 opposed it and 35,579 abstained. Approximately 59.5% of Sunrise’s outstanding shares were represented at the meeting, and approximately 91.6% of votes cast supported the proposal.

Sunrise plans to issue roughly 8.46 million shares to complete the combination. Under the merger terms disclosed by Southern Realty Trust, each outstanding Southern share would be exchanged for 1.45 newly issued Sunrise shares and $0.05 in cash funded by Sunrise Manager LLC. Former Southern shareholders are expected to own approximately 39% of the combined company.

The combined company would continue operating as Sunrise Realty Trust, with shares trading on Nasdaq under the symbol SUNS.

Dividends declared ahead of anticipated closing

Sunrise’s board declared a prorated fourth-quarter dividend of $0.09 per share, payable November 5 to shareholders of record November 2.

Southern’s board declared a $0.13-per-share prorated dividend, also payable November 5 to shareholders of record November 2. Southern separately announced a special distribution of approximately $0.01 per share, funded by its external manager and payable November 4.

Closing is not yet complete

The companies expect the combination to increase their scale and improve access to capital, but those are management projections rather than demonstrated post-merger results. Sunrise’s SEC filing cautions that there is no assurance the remaining conditions will be met or the transaction completed on the anticipated date.

The votes follow earlier support from proxy advisory firms ISS and Glass Lewis. WRE News reported on those recommendations earlier this month.
